Welcome to EMD. These Terms & Conditions (“Terms”) govern your use of our website, products, custom design services, quotations, samples, orders, and related services.
By accessing our website, requesting a quote, approving a design, submitting payment, or placing an order with EMD, you agree to these Terms.
1. Custom Uniform Services
EMD specializes in custom and made-to-order uniforms, apparel, accessories, embroidery, decoration, and related products.
Because many of our products are designed or manufactured specifically for each client, certain policies differ from those associated with standard retail merchandise.
Custom orders may include, but are not limited to:
Custom-designed garments
Custom colors or fabrics
Custom prints and patterns
Embroidery
Screen printing
Heat transfers
Patches and logos
Custom trims
Personalized sizing
Altered or modified garments
Custom accessories
Special-order products
Private-label products
By approving a custom order, you acknowledge that the merchandise is being produced specifically for you and may not be eligible for cancellation, return, or refund.
2. Quotes and Pricing
All quotes are based on the specifications, quantities, materials, decoration, sizing, shipping requirements, and other information provided at the time the quote is prepared.
Quotes are valid for [30] days unless otherwise stated.
Pricing may change if:
Order quantities change
Garment specifications change
Fabrics or materials change
Decoration or embroidery requirements change
Artwork requires additional development
Shipping requirements change
Vendor or material costs change
Rush production is requested
Duties, tariffs, taxes, or freight charges change
Any applicable sales tax, shipping, freight, duties, tariffs, or other charges may be added to the final invoice unless specifically included in the written quote.
3. Deposits and Payment
Custom orders may require a deposit before design development, sampling, material purchasing, or production begins.
Unless otherwise stated in writing, deposits for custom merchandise are non-refundable once materials have been ordered, artwork or patterns have been developed, samples have been produced, or production has begun.
The remaining balance must be paid according to the payment terms shown on your invoice or sales agreement.
EMD reserves the right to pause production, withhold shipment, or delay delivery if required payments are not received.
4. Artwork, Logos, and Client-Supplied Materials
Clients are responsible for ensuring that they have permission to use any logos, trademarks, artwork, photographs, patterns, graphics, text, or other intellectual property submitted to EMD.
By providing artwork or other materials, you represent that you own the applicable rights or have authorization to use them.
You agree to indemnify and hold EMD harmless against claims relating to intellectual property supplied or requested by you.
Additional artwork or digitizing fees may apply if files require modification, recreation, vectorization, embroidery digitizing, color separation, or other production preparation.
5. Design Concepts and Intellectual Property
Unless otherwise agreed in writing, preliminary sketches, concepts, renderings, mockups, patterns, technical drawings, presentations, and design concepts created by EMD remain the intellectual property of EMD until all applicable design fees and invoices have been paid.
Payment for merchandise does not automatically transfer ownership of proprietary patterns, technical specifications, sourcing information, manufacturing methods, or other intellectual property developed by EMD.
Any transfer of intellectual property rights must be specifically agreed to in writing.
6. Digital Renderings and Mockups
Digital renderings, illustrations, mockups, and computer-generated images are intended to communicate the general appearance and design direction of a product.
They are not guarantees of exact production results.
Differences may occur between digital representations and finished merchandise due to:
Screen settings
Lighting
Fabric texture
Dye lots
Printing methods
Embroidery techniques
Manufacturing processes
Available trims or materials
Garment construction
Final production colors and materials may vary from digital renderings.
7. Samples and Pre-Production Approvals
When applicable, EMD may provide samples, prototypes, strike-offs, fabric swatches, embroidery sew-outs, or other pre-production materials for approval.
The client is responsible for reviewing all details carefully before approval, including:
Garment style
Fit
Measurements
Fabric
Color
Logo placement
Logo size
Embroidery
Printing
Trim
Buttons
Hardware
Construction details
Spelling
Names
Quantities
Once written approval is provided, EMD will produce the order according to the approved specifications.
Changes requested after approval may result in additional costs and production delays.
8. Color and Material Variations
Fabric, leather, denim, dye lots, printing, embroidery thread, hardware, trims, and other materials may contain natural or manufacturing variations.
Exact color matching cannot always be guaranteed.
Colors may vary between:
Different dye lots
Different production runs
Different fabrics
Digital screens and physical products
Samples and bulk production
Embroidery thread and printed artwork
Minor variations that fall within commercially reasonable manufacturing tolerances are not considered defects.
9. Sizing and Fit
Size charts are provided as guidelines.
Actual fit may vary depending on garment style, fabric, construction, body shape, layering, and personal fit preferences.
Clients are responsible for reviewing sizing information and submitting accurate sizes.
For large uniform programs, we strongly recommend conducting a fitting or sample-size trial before placing the full production order.
EMD is not responsible for incorrect sizing when garments are produced according to sizes submitted or approved by the client.
Alterations may be available at an additional charge.
10. Production Timelines
Production timelines are estimates unless a guaranteed delivery date is specifically confirmed in writing.
Production generally begins after all required items have been received, including:
Deposit or payment
Final artwork
Sizes
Quantities
Design approval
Sample approval, when applicable
Any other required client information
Delays in approvals, sizing information, payments, artwork, or other client-supplied information may extend the delivery date.
11. Supply Chain and Production Delays
While we make every reasonable effort to meet estimated timelines, EMD is not responsible for delays caused by circumstances outside our reasonable control, including:
Material shortages
Manufacturer delays
Shipping or freight disruptions
Customs delays
Weather
Natural disasters
Labor disruptions
Carrier delays
Government restrictions
International shipping issues
Factory closures
Vendor discontinuations
Force majeure events
If a specified material or component becomes unavailable, we may recommend a reasonably comparable alternative for client approval.
12. Rush Orders
Rush production may be available depending on the product, quantity, materials, and production capacity.
Additional rush fees may apply.
A rush fee does not guarantee delivery by a particular date unless that delivery date is specifically guaranteed in writing by EMD.
13. Order Changes
All changes must be submitted in writing.
Changes made after an order has been approved or entered into production may result in:
Additional design fees
Additional material costs
Restocking charges
Reproduction costs
New minimum quantities
Extended production timelines
Some changes may not be possible after production has begun.
14. Cancellations
Custom and special-order merchandise cannot generally be canceled once production, material purchasing, artwork preparation, embroidery digitizing, pattern development, sampling, or manufacturing has begun.
If cancellation is permitted, the client remains responsible for all costs incurred by EMD prior to cancellation.
Deposits may be non-refundable.
15. Returns and Refunds
Because custom products are made specifically for each client, custom, personalized, embroidered, altered, decorated, or made-to-order merchandise is final sale unless defective or produced incorrectly based on the approved specifications.
Non-custom merchandise, if offered, may be subject to a separate return policy.
Shipping charges, design fees, sampling fees, embroidery digitizing fees, rush fees, and other service fees are generally non-refundable.
16. Defects and Order Issues
Clients must inspect merchandise promptly upon delivery.
Any claims regarding defects, shortages, incorrect items, decoration errors, or manufacturing issues must be submitted to EMD in writing within [7] business days of delivery.
Please include photographs and a description of the issue.
If EMD determines that merchandise contains a manufacturing defect or differs materially from the approved specifications, we may, at our discretion:
Repair the affected merchandise
Replace the affected merchandise
Reproduce the affected items
Issue an appropriate credit or refund
Normal wear and tear, improper washing, misuse, unauthorized alterations, incorrect sizing selections, or damage occurring after delivery are not considered manufacturing defects.
17. Care Instructions
Clients are responsible for following garment care instructions.
Decoration, embroidery, specialty fabrics, trims, hardware, and custom materials may require special care.
EMD is not responsible for damage caused by improper washing, drying, ironing, dry cleaning, chemical exposure, commercial laundering, or failure to follow provided care instructions.
Clients operating commercial laundry programs should test laundering procedures before processing large quantities of uniforms.
18. Shipping and Delivery
Shipping and delivery dates are estimates unless otherwise agreed in writing.
Risk of loss may transfer to the client when merchandise is delivered to the applicable carrier, subject to applicable law and the agreed shipping terms.
EMD is not responsible for carrier delays, incorrect delivery information supplied by the client, or packages lost or damaged after confirmed delivery.
Any visible shipping damage should be documented immediately and reported to both the carrier and EMD.
19. Quantity Variations
For certain custom-manufactured products, reasonable production quantity variations may occur.
Where applicable, final quantities may vary slightly from the quantity ordered due to manufacturing requirements.
Any allowable overrun or underrun will be communicated when relevant to the order.
20. Photography and Portfolio Use
Unless otherwise agreed in writing, EMD may photograph completed merchandise and use photographs of its work for portfolio, website, social media, marketing, trade show, and promotional purposes.
We will not intentionally disclose confidential client information through such use.
Clients requiring confidential treatment of a project should notify EMD in writing before production.
21. Confidentiality
Where appropriate, EMD will use commercially reasonable efforts to protect confidential information shared by clients.
Information that is publicly available, independently developed, previously known, or lawfully received from another source will not be considered confidential.
Separate confidentiality or nondisclosure agreements may be entered into for projects requiring additional protection.
22. Website Information
We make reasonable efforts to ensure that information presented on our website is accurate.
However, product descriptions, images, availability, pricing, materials, specifications, and other website information may change without notice.
We reserve the right to correct errors, inaccuracies, or omissions at any time.
23. Third-Party Products and Vendors
Certain products, fabrics, garments, accessories, or services may be provided by third-party manufacturers or vendors.
EMD does not control third-party supply chains and cannot guarantee that a particular product, fabric, color, trim, or style will remain available indefinitely.
We reserve the right to recommend substitutions if a product or material becomes unavailable.
24. Limitation of Liability
To the fullest extent permitted by applicable law, EMD will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of our website, products, or services.
To the fullest extent permitted by applicable law, EMD’s total liability arising from a particular order will not exceed the amount paid to EMD for the specific goods or services giving rise to the claim.
Nothing in these Terms is intended to exclude rights or remedies that cannot legally be excluded.
25. Indemnification
You agree to indemnify and hold harmless EMD, its owners, employees, agents, affiliates, contractors, and suppliers from claims, damages, expenses, or liabilities arising from your misuse of our products or services, violation of these Terms, or unauthorized use of intellectual property supplied by you.
26. Force Majeure
EMD will not be responsible for failure or delay in performance caused by circumstances beyond our reasonable control, including natural disasters, fire, flood, severe weather, acts of government, war, terrorism, civil disturbances, labor disputes, pandemics, transportation interruptions, material shortages, supplier failures, or similar events.
27. Governing Law
These Terms will be governed by the laws of the State of [State], without regard to conflict-of-law principles.
Any dispute relating to these Terms, our products, or our services will be resolved in the appropriate courts located in [County, State], unless otherwise required by applicable law or agreed in writing.
28. Changes to These Terms
We may update these Terms from time to time.
Changes will become effective when the updated Terms are posted on our website with a revised “Last Updated” date.
Your continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
29. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
30. Entire Agreement
These Terms, together with any applicable quote, invoice, order confirmation, design approval, sales agreement, privacy policy, or other written agreement between the client and EMD, constitute the agreement governing the applicable transaction.
If a separately signed agreement conflicts with these Terms, the signed agreement will control to the extent of the conflict.
